PLEASE READ THESE TERMS OF USE CAREFULLY. By accessing or using TicketFlare.com or any related website, mobile application, services, software, tools, or features operated by TicketFlare (collectively, the “Platform”), or by purchasing, listing, marketing, promoting, or selling any ticket, event, product, or service through the Platform, you agree to be bound by these Terms of Use (the “Terms”). If you do not agree to these Terms, you must not access or use the Platform.
These Terms govern your access to and use of the Platform, including the advertising, promotion, listing, sale, purchase, distribution, and management of event tickets and related services.
By using the Platform, you confirm that you are at least eighteen (18) years old, or that you are using the Platform under the supervision of a parent or legal guardian, and that you are legally capable of entering into a binding agreement. If you access or use the Platform on behalf of a company, organization, or other legal entity, you represent and warrant that you are authorized to bind that entity to these Terms, in which case “you” and “your” shall refer to both you and that entity.
These Terms contain important provisions, including disclaimers of warranties, limitations of liability, indemnities, and dispute resolution requirements.
I. DESCRIPTION OF TICKETFLARE
TicketFlare operates an online ticketing marketplace and event technology platform. TicketFlare provides tools and services that allow event organizers, promoters, hosts, planners, venues, and similar persons or entities (collectively, “Event Organizers”) to create, advertise, manage, market, distribute, and sell tickets for events, and allows customers and other end users (collectively, “Customers”) to search for, purchase, receive, and use tickets for those events.
TicketFlare acts solely as an intermediary technology platform and, unless expressly stated otherwise in writing, is not the organizer, promoter, producer, host, operator, sponsor, venue, or insurer of any event listed on the Platform. TicketFlare does not control and is not responsible for the quality, safety, legality, timing, content, performance, cancellation, postponement, rescheduling, seating, venue operations, staffing, security, admission practices, or overall experience of any event.
TicketFlare does not endorse or guarantee any Event Organizer, performer, attraction, venue, or event listed on the Platform. Any issues relating to the actual event itself remain the responsibility of the applicable Event Organizer and/or venue.
II. REGISTRATION AND ELIGIBILITY
To access certain features of the Platform, you may be required to register for an account. You agree to:
1. provide true, accurate, current, and complete information about yourself as requested;
2. maintain and promptly update such information so that it remains true, accurate, current, and complete; and
3. provide any documentation or verification requested by TicketFlare from time to time.
If TicketFlare reasonably believes that any information you provide is false, inaccurate, outdated, incomplete, misleading, or unverifiable, TicketFlare may suspend or terminate your account, cancel orders, withhold payouts, restrict access to the Platform, or take any other action it deems appropriate.
TicketFlare reserves the right to refuse access to the Platform to any person or entity at any time in its sole discretion.
III. ACCOUNT SECURITY
You are responsible for maintaining the confidentiality of your account credentials, including your username and password, and for all activities that occur under your account.
You agree to:
1. immediately notify TicketFlare of any unauthorized use of your account or any other breach of security; and
2. ensure that you properly log out of your account at the end of each session where applicable.
TicketFlare shall not be liable for any loss, damage, cost, or liability arising from your failure to safeguard your account credentials or from any unauthorized use of your account.
IV. EVENT LISTINGS AND PLATFORM CONTENT
The Platform may display event listings, descriptions, ticket availability, prices, seating details, event dates, event times, venues, images, promotional materials, restrictions, age requirements, and other information provided by Event Organizers or other third parties.
TicketFlare does not guarantee that any listing information is accurate, complete, current, lawful, or error-free. Event details, ticket inventory, seating layouts, prices, performers, attractions, dates, times, and venues may change at any time, sometimes without notice to TicketFlare.
Customers are responsible for reviewing all event details carefully before purchasing tickets and for monitoring the event for any updates or changes.
V. ORDERS, TICKET SELECTION, AND PURCHASES
When you select tickets and proceed through checkout, you are submitting an offer to purchase those tickets subject to these Terms. Ticket availability is not guaranteed until you receive confirmation of a completed purchase.
By placing an order, you:
1. authorize TicketFlare and its payment processors to charge your selected payment method for the full order amount, including ticket price, service fees, convenience fees, taxes, and any other disclosed charges;
2. confirm that you are authorized to use the selected payment method;
3. agree that all information submitted in connection with the purchase is accurate and complete; and
4. accept that ticket prices may be above, below, or equal to any face value shown on the ticket.
TicketFlare reserves the right, at any time and for any reason, to reject, cancel, limit, or refuse any order, including where:
• tickets are unavailable;
• fraud is suspected;
• the listing contains an error;
• the payment cannot be authorized or verified;
• the transaction appears unlawful, abusive, or in violation of these Terms; or
• TicketFlare is required or advised to do so by an Event Organizer, venue, payment processor, law enforcement authority, or applicable law.
Where permitted operationally, and if expressly stated in the applicable event settings or listing structure, TicketFlare may substitute tickets with comparable or upgraded tickets. Any such substitution shall be deemed fulfillment of the order.
VI. DELIVERY OF TICKETS
Tickets purchased through the Platform are typically delivered electronically to the email address associated with your account or order, and may also be made available in your TicketFlare account for download or display.
Delivery timing may vary by event, Event Organizer, fraud screening requirements, payment verification, ticket release settings, or other operational considerations. TicketFlare does not guarantee immediate delivery unless expressly stated.
It is your responsibility to:
1. provide a valid and accessible email address;
2. check your spam or junk mail folders;
3. ensure that your device, account, and internet access permit you to retrieve and display tickets;
4. contact TicketFlare promptly if you do not receive your tickets within a reasonable time before the event.
TicketFlare is not responsible for delays caused by incorrect contact information, email filtering, device incompatibility, connectivity issues, venue systems, third-party delivery systems, or fraud review procedures.
Many tickets may require display on a mobile device. You are responsible for ensuring that your device is adequately charged and functional at the time of entry.
VII. PAYMENTS, FEES, AND TAXES
A. Customers
By placing an order, you acknowledge and agree that:
1. all sales are subject to these Terms, including the refund, cancellation, postponement, rescheduling, and dispute provisions set out herein;
2. all sales are final, except where a refund is expressly required by applicable law or expressly authorized under the Event Organizer’s applicable policy;
3. TicketFlare does not provide refunds for “buyer’s remorse,” mistaken purchases, scheduling conflicts, dissatisfaction with an event, changes in personal plans, or failure to attend an event;
4. you may use only payment methods that belong to you or that you are expressly authorized to use;
5. TicketFlare may use payment processors and fraud prevention tools to verify transactions and identity; and
6. you remain responsible for any applicable taxes, duties, bank charges, foreign exchange fees, or other charges imposed by third parties.
You may not disguise your identity, use multiple accounts, use multiple IP addresses or email addresses in a deceptive manner, use stolen or unauthorized payment methods, or otherwise attempt to circumvent fraud controls, ticket limits, account restrictions, or purchase rules.
You may not use bots, scripts, scraping tools, automated purchasing software, or any similar technology to search for, reserve, purchase, or manipulate tickets or listings on the Platform.
B. Event Organizers
1. Appointment as Limited Collection Agent
For transactions processed through the Platform, TicketFlare acts as a limited payment collection agent of the Event Organizer solely for the purpose of collecting ticket sale proceeds from Customers.
2. Platform Fees
TicketFlare may charge Event Organizers platform fees, service fees, transaction fees, payout processing fees, chargeback administration fees, reserve requirements, and any other fees agreed between TicketFlare and the Event Organizer or otherwise disclosed through the Platform.
Unless otherwise agreed in writing, TicketFlare currently charges a platform service fee of 10% per ticket sold, in addition to any payment processor fees and other applicable charges.
3. Payouts
Subject to these Terms, TicketFlare will remit net proceeds to the Event Organizer after deducting applicable fees, refunds, reversals, reserves, penalties, processor deductions, and other amounts owed to TicketFlare.
Unless otherwise agreed, payouts are generally made within two (2) to five (5) business days after the event concludes.
TicketFlare may delay, suspend, offset, or withhold payouts where:
• there is an open customer dispute or chargeback;
• fraud is suspected or detected;
• the Event Organizer is under investigation;
• the Event Organizer has breached these Terms;
• the Event Organizer has failed to provide requested documentation;
• the event is cancelled, postponed, materially changed, or subject to complaint;
• reserves are required in TicketFlare’s reasonable judgment to protect against risk.
The Event Organizer is solely responsible for ensuring that bank account and payout information is accurate and current.
4. Event Organizer Responsibilities
Each Event Organizer represents, warrants, and agrees that it:
1. has all necessary legal authority, rights, licenses, permits, approvals, venue authorizations, and insurance required to organize, promote, and hold the event;
2. will comply with all applicable laws and regulations of The Commonwealth of The Bahamas and any other applicable jurisdiction;
3. will provide accurate, complete, and non-misleading event information;
4. will honor all valid tickets sold through the Platform;
5. will be solely responsible for event operations, staffing, security, crowd control, health and safety, accessibility, age restrictions, venue compliance, tax compliance, and consumer-facing event performance;
6. will promptly notify TicketFlare of any cancellation, postponement, rescheduling, material change, venue issue, admission issue, or complaint likely to affect ticket holders; and
7. will be solely responsible for refunds, credits, exchanges, accommodations, and customer claims arising from the event, except to the extent TicketFlare expressly agrees otherwise in writing.
5. Fraudulent or Unauthorized Transactions
If TicketFlare reasonably suspects that any purchase, listing, payout request, or event activity is fraudulent, unauthorized, unlawful, misleading, or in breach of these Terms, TicketFlare may, without liability:
• cancel tickets or orders;
• deny event access;
• withhold or reverse funds;
• suspend payouts;
• require reserves;
• report the matter to payment processors, banks, law enforcement, regulators, or other third parties; and
• suspend or terminate any related accounts.
TicketFlare will not be liable to an Event Organizer for withheld funds, chargebacks, reversals, refunds, or other losses arising from suspected or actual fraud, unauthorized transactions, or cardholder disputes.
VIII. REFUNDS, CANCELLATIONS, POSTPONEMENTS, RESCHEDULING, AND MATERIAL CHANGES
A. All Sales Final
Except as required by applicable law or expressly provided in a specific Event Organizer refund policy, all ticket sales are final. Tickets are non-cancellable, non-returnable, and non-exchangeable.
B. Responsibility for Refunds
Unless TicketFlare expressly agrees otherwise in writing, refunds are the sole responsibility of the Event Organizer. TicketFlare is a platform provider and payment intermediary only and does not assume responsibility for funding or paying refunds arising from the cancellation, postponement, rescheduling, material change, quality, operation, or non-performance of any event.
C. Cancelled Events
If an event is cancelled and not rescheduled, the remedy available to the Customer, if any, shall be determined by the Event Organizer’s refund policy and applicable law. TicketFlare may, but is not obligated to, assist with communication or administration of the process.
D. Postponed or Rescheduled Events
If an event is postponed or rescheduled, tickets may remain valid for the rescheduled date unless otherwise determined by the Event Organizer, venue, or applicable law. Postponement or rescheduling does not automatically entitle a Customer to a refund from TicketFlare.
E. Material Changes
Events may be subject to material or non-material changes, including changes to date, time, venue, lineup, performers, attractions, seating, floor plans, amenities, capacity, accessibility, admission procedures, security rules, health requirements, age restrictions, or other event details. TicketFlare is not responsible for such changes and does not guarantee refunds or compensation in relation to them.
F. No Refund for Event Satisfaction or Quality Complaints
Customers acknowledge and agree that TicketFlare does not organize, produce, host, manage, or control any event listed on the Platform.
Where an event has occurred, whether or not to a Customer’s satisfaction, TicketFlare shall have no obligation to provide any refund, compensation, chargeback reimbursement, or other remedy for complaints relating to:
• the quality of the event;
• the quality of performances or entertainment;
• venue conditions;
• crowd size or atmosphere;
• event management or organization;
• delays during the event;
• personal dissatisfaction;
• unmet expectations; or
• any other issue relating to the Customer’s subjective experience of the event.
Any such complaints must be directed exclusively to the applicable Event Organizer.
G. Chargebacks and Disputed Charges
If you initiate a chargeback, payment dispute, or reversal with your bank, card issuer, or payment provider, you acknowledge and agree that TicketFlare acts solely as a platform and payment facilitator on behalf of the Event Organizer.
Where an event occurred, claims that the event did not occur, or that you are entitled to reimbursement from TicketFlare because you were dissatisfied with the event, may be disputed by TicketFlare and/or the Event Organizer with supporting documentation, including but not limited to transaction records, scan data, ticket delivery records, event confirmations, organizer confirmations, venue confirmations, communications records, and other evidence.
Customers agree that disputes relating to event quality, performance, organization, admission policies, venue issues, age restrictions, event changes, or dissatisfaction must be addressed directly with the Event Organizer and do not create liability on the part of TicketFlare.
TicketFlare reserves the right to:
1. challenge chargebacks and disputed payments;
2. provide records and evidence to banks, payment processors, law enforcement, or regulators;
3. recover any losses, fees, penalties, or costs associated with abusive, false, or fraudulent chargebacks;
4. suspend or permanently terminate accounts involved in repeated or abusive disputes; and
5. block future transactions or access to the Platform.
Initiating a chargeback or bank dispute based on knowingly false information may constitute fraud and may result in civil and/or criminal action.
IX. DENIAL OF ADMISSION; VENUE RULES; CUSTOMER CONDUCT
Admission to any event is subject to the policies, rules, and decisions of the Event Organizer and venue. Ticket holders may be denied entry or removed from an event for reasons including, without limitation:
• failure to comply with venue or event rules;
• presenting invalid or duplicate tickets;
• intoxication;
• disorderly conduct;
• prohibited items;
• dress code violations;
• safety, health, or security concerns;
• failure to meet age or identification requirements.
TicketFlare is not responsible for denial of entry or removal from an event where the Customer has violated venue or event rules, or where the Event Organizer or venue exercises its lawful discretion.
No refund shall be due from TicketFlare for any denial of admission or removal resulting from Customer conduct, venue policy, or Event Organizer rules.
X. LOST, STOLEN, DAMAGED, DESTROYED, OR MISUSED TICKETS
Customers are responsible for safeguarding their tickets. TicketFlare is not responsible for tickets that are lost, stolen, deleted, damaged, destroyed, transferred without authorization, duplicated by the Customer, or otherwise misused after delivery, except to the extent caused directly by TicketFlare’s proven technical error.
TicketFlare is under no obligation to replace tickets, though it may do so in its sole discretion where operationally possible.
XI. PRICING ERRORS AND LISTING ERRORS
Despite reasonable efforts, the Platform may contain pricing errors, incorrect fees, incorrect ticket descriptions, incorrect event details, incorrect availability, or other listing errors.
TicketFlare reserves the right to correct any such error and to cancel, revoke, refuse, or adjust any affected order or listing. If an order is cancelled due to an error prior to fulfillment, the Customer’s sole remedy shall be a refund of amounts actually paid for that order.
TicketFlare shall not be liable for any loss arising from a pricing or listing error.
XII. EVENT ORGANIZER CONTENT AND USER CONTENT
A. Site Content
All text, graphics, images, software, designs, layouts, databases, trademarks, service marks, logos, audio, video, code, compilations, and other material made available through the Platform by or on behalf of TicketFlare (collectively, “Site Content”) are protected by intellectual property and other laws.
Except as expressly permitted by TicketFlare in writing or through the intended functionality of the Platform, you may not copy, reproduce, distribute, modify, adapt, publish, display, transmit, scrape, extract, reverse engineer, create derivative works from, or otherwise exploit any Site Content.
B. Event Organizer and User Content
If you submit, upload, post, transmit, or otherwise make available any content through the Platform, including event descriptions, logos, artwork, text, graphics, marketing material, data, or other materials (“Your Content”), you grant TicketFlare a non-exclusive, worldwide, transferable, sublicensable, royalty-free right and license to host, use, reproduce, distribute, modify, adapt, publish, display, perform, translate, and create derivative works of Your Content for the purposes of operating, promoting, improving, and marketing the Platform and TicketFlare’s services.
You represent and warrant that:
1. you own or control all rights necessary to grant the above license;
2. Your Content does not infringe, misappropriate, or violate any third-party rights;
3. Your Content is accurate, lawful, and not misleading; and
4. Your Content complies with all applicable laws and regulations.
TicketFlare may remove, edit, restrict, or disable any content at any time in its sole discretion.
C. Use of Event Organizer Name and Logo
Event Organizers agree that TicketFlare may use their name, trade name, trademarks, and logos to identify them as current or former users or customers of TicketFlare and to promote the Platform, unless otherwise agreed in writing.
XIII. ACCEPTABLE USE; PROHIBITED CONDUCT
You agree not to use the Platform:
1. for any unlawful, fraudulent, deceptive, abusive, or unauthorized purpose;
2. to violate any law, regulation, or third-party rights;
3. to submit false or misleading information;
4. to impersonate any person or entity;
5. to list non-existent, misleading, illegal, or unauthorized events;
6. to interfere with, disrupt, damage, disable, or overburden the Platform;
7. to use bots, crawlers, scrapers, scripts, or other automated tools;
8. to bypass security measures, account limits, ticket limits, or access controls;
9. to engage in fraudulent chargebacks, friendly fraud, or payment abuse;
10. to distribute malware, viruses, or malicious code;
11. to harvest data, account information, or content from the Platform without authorization.
TicketFlare is the sole interpreter of the Platform’s acceptable use.
XIV. INVESTIGATIONS AND ENFORCEMENT
TicketFlare may investigate any suspected breach of these Terms, complaints, fraud, chargebacks, listing abuse, event misrepresentation, unlawful conduct, or other harmful activity.
You agree to cooperate fully in any investigation, including by providing requested records, identification, event documentation, venue confirmations, or other relevant information.
TicketFlare may, without notice and without liability, take any action it deems appropriate, including:
• issuing warnings;
• cancelling orders;
• suspending or terminating accounts;
• removing listings or content;
• withholding payouts;
• imposing reserves or additional verification;
• denying access to the Platform;
• blocking future transactions;
• commencing legal proceedings; or
• reporting matters to law enforcement, regulators, payment processors, venues, or other third parties.
TicketFlare may seek injunctive or equitable relief where monetary damages would be inadequate.
XV. THIRD-PARTY SERVICES
The Platform may integrate with or link to third-party services, payment processors, websites, software, delivery providers, analytics tools, communication services, or other resources.
TicketFlare does not control and is not responsible for any third-party service, website, content, product, or resource. Your dealings with third parties are solely between you and the applicable third party.
XVI. PRIVACY AND DATA USE
Your use of the Platform is also subject to TicketFlare’s Privacy Policy, as updated from time to time.
You acknowledge that TicketFlare may collect, use, disclose, process, and store personal information and transaction data for purposes including account administration, payment processing, fraud prevention, customer support, legal compliance, marketing, analytics, service improvement, and enforcement of these Terms.
TicketFlare may share information with Event Organizers, payment processors, banks, fraud prevention providers, service providers, law enforcement, courts, regulators, and other parties where reasonably necessary for those purposes.
XVII. HEALTH, SAFETY, AND COMMUNICABLE DISEASE RISKS
Attendance at events may involve risks, including illness, injury, communicable disease exposure, crowd-related incidents, accidents, or other hazards.
To the fullest extent permitted by law, you voluntarily assume all risks arising from attending any event, venue, or related activity, including risks relating to communicable diseases, epidemics, pandemics, public health incidents, crowd conditions, venue operations, and the acts or omissions of Event Organizers, venues, attendees, or other third parties.
TicketFlare is not responsible for health or safety conditions at events or venues.
XVIII. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless TicketFlare, its parent companies, affiliates, related entities, investors, licensors, suppliers, payment processors, advertisers, service providers, officers, directors, employees, consultants, agents, and representatives (collectively, the “Indemnified Parties”) from and against any and all claims, demands, actions, proceedings, liabilities, losses, damages, judgments, fines, penalties, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to:
1. your breach of these Terms;
2. your use of the Platform;
3. your event, listing, content, or conduct;
4. your violation of any law or third-party rights;
5. any dispute between you and another user, Event Organizer, Customer, venue, performer, or third party;
6. any tax obligations arising from your activities; or
7. any false, abusive, or fraudulent payment dispute or chargeback initiated by or attributable to you.
This indemnity survives termination of these Terms and your use of the Platform.
XIX. REPRESENTATIONS AND WARRANTIES
You represent and warrant that:
1. you have the legal right and authority to enter into these Terms;
2. these Terms constitute a binding obligation upon you;
3. you will comply with all applicable laws, rules, and regulations in using the Platform; and
4. all information and materials you provide to TicketFlare are truthful, accurate, and complete.
XX. DISCLAIMERS
THE PLATFORM, SITE CONTENT, SERVICES, TICKETS, AND ALL MATERIALS MADE AVAILABLE THROUGH THE PLATFORM ARE PROVIDED ON AN “AS IS,” “AS AVAILABLE,” AND “WITH ALL FAULTS” BASIS.
TO THE FULLEST EXTENT PERMITTED BY LAW, TICKETFLARE DISCLAIMS ALL WARRANTIES, REPRESENTATIONS, AND CONDITIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, QUIET ENJOYMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING, USAGE, OR TRADE PRACTICE.
WITHOUT LIMITING THE FOREGOING, TICKETFLARE DOES NOT WARRANT THAT:
1. THE PLATFORM WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE;
2. THE PLATFORM OR ANY CONTENT WILL BE ACCURATE, COMPLETE, RELIABLE, OR CURRENT;
3. ANY DEFECTS WILL BE CORRECTED;
4. THE PLATFORM WILL BE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; OR
5. ANY EVENT WILL OCCUR AS ADVERTISED OR AT ALL.
TICKETFLARE IS NOT RESPONSIBLE FOR THE ACTS, OMISSIONS, CONTENT, SERVICES, PRODUCTS, POLICIES, OR CONDUCT OF EVENT ORGANIZERS, VENUES, PERFORMERS, PROMOTERS, CUSTOMERS, PAYMENT PROCESSORS, OR OTHER THIRD PARTIES.
YOUR USE OF THE PLATFORM AND ATTENDANCE AT ANY EVENT ARE ENTIRELY AT YOUR OWN RISK.
XXI. LIMITATION OF LIABILITY
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, NEITHER TICKETFLARE NOR ANY INDEMNIFIED PARTY SHALL BE LIABLE TO YOU OR TO ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, PUNITIVE, OR ENHANCED DAMAGES, OR FOR ANY LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, LOSS OF GOODWILL, LOSS OF BUSINESS OPPORTUNITY, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE PLATFORM, THESE TERMS, ANY EVENT, ANY TICKET, OR ANY TRANSACTION, WHETHER BASED IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, STATUTE, EQUITY, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
WITHOUT LIMITING THE FOREGOING, TICKETFLARE SHALL HAVE NO LIABILITY FOR:
1. THE ACTS OR OMISSIONS OF EVENT ORGANIZERS, VENUES, PROMOTERS, PERFORMERS, OR OTHER THIRD PARTIES;
2. PERSONAL INJURY, DEATH, PROPERTY DAMAGE, OR OTHER HARM OCCURRING AT OR IN CONNECTION WITH ANY EVENT;
3. EVENT CANCELLATIONS, POSTPONEMENTS, RESCHEDULING, OR MATERIAL CHANGES;
4. EVENT QUALITY OR CUSTOMER SATISFACTION;
5. DENIAL OF ENTRY OR REMOVAL FROM AN EVENT;
6. LOST, STOLEN, DUPLICATED, DAMAGED, OR DESTROYED TICKETS;
7. UNAUTHORIZED ACCESS TO ACCOUNTS OR DATA;
8. PRICING ERRORS, LISTING ERRORS, OR CONTENT ERRORS;
9. INTERRUPTIONS, BUGS, VIRUSES, OR PLATFORM OUTAGES; OR
10. CHARGEBACKS, BANK DISPUTES, OR PAYMENT PROCESSOR ACTIONS.
TO THE FULLEST EXTENT PERMITTED BY LAW, THE MAXIMUM AGGREGATE LIABILITY OF TICKETFLARE AND ALL INDEMNIFIED PARTIES TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE PLATFORM, ANY EVENT, ANY TICKET, OR THESE TERMS SHALL NOT EXCEED THE GREATER OF:
1. THE TOTAL AMOUNT PAID BY YOU TO TICKETFLARE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR
2. BSD $200.
IF YOU ARE AN EVENT ORGANIZER, TICKETFLARE’S MAXIMUM AGGREGATE LIABILITY TO YOU SHALL NOT EXCEED THE TOTAL PLATFORM FEES PAID BY YOU TO TICKETFLARE IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
YOUR SOLE AND EXCLUSIVE REMEDY FOR DISSATISFACTION WITH THE PLATFORM IS TO STOP USING IT.
XXII. DISPUTE RESOLUTION
A. Good-Faith Informal Resolution
Before commencing formal proceedings, the parties shall first attempt in good faith to resolve any dispute, claim, controversy, or disagreement arising out of or relating to these Terms, the Platform, TicketFlare’s services, or any ticket transaction (each, a “Dispute”).
A party initiating a Dispute must provide written notice by email to info@ticketflare.com, setting out the nature of the Dispute and reasonable supporting details. TicketFlare will acknowledge receipt within five (5) business days and will use reasonable efforts to respond within fifteen (15) business days.
No party may commence formal proceedings until at least thirty (30) days after such written notice, unless urgent injunctive relief is required.
B. Mediation
If the Dispute is not resolved informally within thirty (30) days, the parties agree to attempt to resolve the Dispute through mediation in The Commonwealth of The Bahamas before a mutually agreed mediator. Each party shall bear its own legal costs and share the mediator’s fees equally unless otherwise agreed.
C. Court Proceedings
If mediation does not resolve the Dispute, either party may commence proceedings exclusively in the courts of The Commonwealth of The Bahamas, and each party irrevocably submits to the exclusive jurisdiction of those courts.
D. Equitable Relief
Nothing in these Terms prevents either party from seeking interim, injunctive, or equitable relief from a court of competent jurisdiction in The Commonwealth of The Bahamas where necessary to prevent irreparable harm, preserve rights, or protect confidential information, intellectual property, funds, data, or the integrity of the Platform.
XXIII. MODIFICATIONS TO THE PLATFORM OR TERMS
TicketFlare may, in its sole discretion, modify, suspend, restrict, or discontinue any part of the Platform at any time, with or without notice.
TicketFlare may also amend these Terms from time to time. Updated Terms will be posted on the Platform and will become effective as of the stated effective date or, if no date is stated, upon posting. Your continued use of the Platform after updated Terms are posted constitutes your acceptance of the revised Terms.
XXIV. TERMINATION
TicketFlare may suspend, restrict, or terminate your access to the Platform or any account at any time, with or without cause, with or without notice, and without liability.
You may stop using the Platform at any time. Termination of access does not affect any accrued rights, obligations, liabilities, payment obligations, indemnities, dispute rights, or provisions that by their nature should survive termination.
XXV. FORCE MAJEURE
TicketFlare shall not be liable for any delay, interruption, failure, or inability to perform resulting from causes beyond its reasonable control, including acts of God, hurricanes, storms, flood, fire, earthquake, epidemic, pandemic, public health emergency, disease outbreak, governmental action, legal order, labor dispute, war, terrorism, civil disturbance, riot, utility failure, internet or telecommunications failure, transportation delay, venue shutdown, or failure of third-party systems or services.
XXVI. TAXES
Customers and Event Organizers are each responsible for any taxes applicable to their transactions, activities, or use of the Platform, except to the extent TicketFlare is required by law to collect or remit certain taxes.
Event Organizers are solely responsible for all tax reporting, remittance, and compliance obligations arising from their events, ticket sales, and business activities.
XXVII. GOVERNING LAW
These Terms, the Platform, all ticket transactions, and any Dispute shall be governed by and construed in accordance with the laws of The Commonwealth of The Bahamas, without regard to conflict of law principles.
XXVIII. ENTIRE AGREEMENT
These Terms, together with any other policies or agreements expressly incorporated by reference, including TicketFlare’s Privacy Policy and any Event Organizer-specific agreement executed with TicketFlare, constitute the entire agreement between you and TicketFlare regarding the subject matter hereof and supersede all prior or contemporaneous discussions, understandings, or agreements, whether oral, written, or electronic.
XXIX. SEVERABILITY
If any provision of these Terms is held by a court of competent jurisdiction in The Commonwealth of The Bahamas to be invalid, illegal, or unenforceable, that provision shall be enforced to the maximum extent permitted by law or, if necessary, deemed modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall remain in full force and effect.
XXX. NO WAIVER
No failure or delay by TicketFlare to exercise any right, power, or remedy under these Terms shall operate as a waiver. Any waiver must be in writing and signed by TicketFlare.
XXXI. NO AGENCY OR PARTNERSHIP
Nothing in these Terms creates any agency, partnership, joint venture, employment, fiduciary, or franchise relationship between TicketFlare and any user, Event Organizer, or Customer.
XXXII. HEADINGS
Section headings are for convenience only and shall not affect the interpretation of these Terms.
